Okura Club International "The Customer" Rules of Membership

SECTION 1 OKURA CLUB INTERNATIONAL "THE CUSTOMER"

Article 1 Purpose, Name, etc.

1.1 Hotel Okura Co., Ltd. (hereinafter called Hotel Okura ) has established the rules on the membership of Okura Club International The Customer (hereinafter called the Rules ).
1.2 The Rules govern the operations of the Okura Club International The Customer (hereinafter called the Club ) managed by Hotel Okura and the privileges to be offered to each of the members of the Club (hereinafter called the Member(s) ).

Article 2 Definition

2.1 Participating Hotels means hotels in the Okura Hotels and Resorts chain. For current details, please access the Okura Hotels and Resorts website at http://www.okura.com/
2.2 Okura Group Restaurants means the restaurants managed by Hotel Okura Enterprise Ltd. For current details, please access the Hotel Okura Enterprise website at http://www.okura-ep.co.jp/
2.3 Hotel Okura Restaurants (Nagoya) means the restaurants managed by Continental Foods Co. Ltd. For current details, please access the Okura Hotels and Resorts website at http://www.okura.com/
2.4 Partner Hotels means Partner Hotel Groups of third party. For current details, please access the Okura Hotels and Resorts website at http://www.okura.com/
2.5 Business consignment partner and hotels means Orange Marketing Services, Japan Co., Ltd. and participating hotels of Orange Marketing Services, Japan Co., Ltd. For current details, please access the Okura Hotels and Resorts website at http://www.okura.com/

Article 3 Use of Personal Information

3.1 Members’ Personal Information (hereinafter called Personal Information), such as names and addresses, will be provided to Participating Hotels, Okura Group Restaurants, Hotel Okura Restaurants (Nagoya), Partner Hotels and Business consignment partner and hotels for the purpose of sending useful information to Members about the services offered by the Participating Hotels.
3.2 Hotel Okura will obtain, use and store Personal Information about the Members (such as names or addresses) only for the purposes of the Club, and will never use such information for any other purposes.

Article 4 Initial Membership Fees and Annual Membership Fees

4.1 No initial membership fees or annual membership fees will be charged.

Article 5 Eligibility for Membership

5.1 An individual resident outside Japan who is accepted by Hotel Okura after completing the designated procedures and agreeing to be bound by these Rules is eligible to become a Member. Corporate and group membership will not be offered.
5.2 Despite acceptance of an application for membership by Hotel Okura, membership may be cancelled immediately at any time at the discretion of Hotel Okura if the Member is deemed to be inappropriate.
5.3 Any of the following will render a person ineligible for membership, or may lead to immediate cancellation of membership:
(a) supplying false information when applying to join the Club;
(b) acting in any way which is detrimental to the interests of the Participating Hotels (including failure to pay invoices by the due date);
(c) having a criminal record which is considered to make the person inappropriate to be a Member;
(d) committing an act of violence, injury, demand by force, threat, extortion, fraud or similar; or
(e) any other reason for which a person is considered unsuitable to be a Member.

Article 6 Registration at Time of Application

A person applying for membership should complete the following mandatory items on the application form: name; date of birth; home address; home telephone number; name of firm; business address; position or title; and business telephone number. A person may not be admitted membership of the Club if any of the mandatory items are not completed.

SECTION 2 MEMBERSHIP SYSTEM

Article 7 Membership

7.1 Hotel Okura may, at its own discretion, admit as a Member of the Club an individual who has applied to Hotel Okura for membership and who has agreed to be bound by the Rules.
7.2 Hotel Okura s acceptance of a person s application for membership will be notified by sending out a formal membership card to the applicant.
7.3 Hotel Okura will accept notification of withdrawal from the Club from the Member only. However, in the event of the death of the Member, Hotel Okura will accept notification of his/her withdrawal from family members or relatives.

Article 8 Change in Notified Personal Information

8.1 The Member(s) must notify Hotel Okura as soon as practicable in writing, by telephone or via the Internet, of any changes in the Member s Personal Information provided to Hotel Okura.
8.2 Where a Member has failed to notify Hotel Okura of a change in the Personal Information as described in the preceding paragraph, notices, documents or other items sent from Hotel Okura to the Member will be deemed to have been received by the Member in the usual course, notwithstanding the fact that the delivery of such items to the Member may be delayed or may not received.

Article 9 Benefit Points

9.1 The Member(s) can earn benefit points (hereinafter called Points ) by staying at a participating Hotel upon presentation of a membership card at the time of payment. Use of restaurants only at selected Participating Hotels also allows the Member(s) to earn Points. However, the method of calculating Points to be earned may differ among Participating Hotels.
9.2 When the Member stays at a Participating Hotel on an accommodation plan which includes room rate, meals and drinks, taxes, service charges and accommodation tax, points to be earned will be calculated on the basis of the room rate only.
9.3 Benefit Points are only applicable when making a reservation directly through each hotel or OHR CentralReservation Office.
9.4 In order to redeem Points for an award, the Member(s) should contact the Club, noting the following:
(a) Applications to redeem Points for an award will only be accepted from the Member in whose name the account is held;
(b) Hotel Okura will confirm that the applicant is the Member in whose name the account is held, verifying against the Member s membership number and previously notified Personal Information;
(c) Redemption of Points for an award is conditional upon the Member having sufficient Points in his or her account at the time of applying for an award;
(d) Awards may be transferred to the Member s family or friends, on the condition that the Member himself or herself applies for the award.
(e) Points once redeemed for an award cannot be returned to the Member s account. If the Member s membership is cancelled, all Points will become invalid.
(f) Points will expire after two years.
(g) Points cannot be transferred between Members.

Article 10 PIN for Website Access to Details of Points

10.1 Upon the request of the Member, Hotel Okura will assign to the Member via the Internet or by telephone the personal identification number (hereinafter called PIN ) presented by the Member, to allow the Member to access details of his or her Points on the Club website. However, if the Member makes no request for a specific PIN or if he/she proposes us a number which Hotel Okura deems to be unavailable, Hotel Okura may assign a PIN at its own discretion based on internally prescribed procedures.
10.2 The Member should take all reasonable precautions to ensure the security of the PIN assigned by Hotel Okura.

Article 11 Revision and Acceptance of Rules

11.1 Hotel Okura may revise the Rules from time to time, at its own discretion. Changes in the Rules and details of when they take effect will be notified (announced) on the Okura Hotels & Resorts website.

SECTION 3 MEMBERSHIP CARD

Article 12 Issuance and Security of Membership Card

12.1 Based on the information provided by the Member, Hotel Okura will issue to the Member a membership card ( Membership Card ) which will have printed on its face the Personal Information such as the Member s name, membership number, and date of issuance. However, Hotel Okura may request the Member to provide proof of identity, even after the Membership Card has been issued.
12.2 The Membership Card remains the property of Hotel Okura. The Membership Card cannot be used by any person other than the Member whose details are shown on the face of the Card, and must not be used for any illegal purposes.
12.3 The Member must take all reasonable precautions to ensure the security of the Membership Card. The Member must not lend, transfer, pledge or deposit the Membership Card as security. The Member may not transfer, for any reason, possession of the Membership Card to any other person or allow them to use it.
12.4 The Member shall be liable for all unauthorized use of the Membership Card due to the Member s failure to comply with Article 12.3.

Article 13 Replacement of Membership Card

13.1 In the event of loss, theft, damage or destruction of the Membership Card, Hotel Okura may, at its own discretion, issue a replacement Membership Card upon application by the Member in the prescribed form.

Article 14 Loss or Theft

14.1 Hotel Okura will not be liable for the unauthorized use of the Membership Card in the event of their loss, theft, misappropriation or fraudulent misuse of the Membership Card ( "Loss or Theft" ).
14.2 The Member must report any Loss or Theft of the Membership Card to Hotel Okura as soon as practicable.

SECTION 4 CANCELLATION OF MEMBERSHIP

Article 15 Cancellation of Membership

15.1 Hotel Okura may cancel the Member s membership without any prior notification in the following circumstances, or in cases where the Member is otherwise considered by Hotel Okura to have become ineligible for Membership:
(a) Where the Member supplied false information when applying for membership of the Club;
(b) Where the Member has failed to comply with the terms and conditions of accommodations at the Participating Hotels or with the Rules
(c) Where the Member has failed to pay any invoices issued by the Participating Hotels by the due date;
(d) Where the Member has behaved inappropriately or is no longer creditworthy;
(e) Where the Member has a criminal conviction which is deemed to be inappropriate for a Member;
(f) Where the Member has committed an act of violence, damage, demand by force, threat, extortion, fraud or similar;
(g) For any other reason similar to the above.
15.2 In the event that a Member s membership is cancelled, all points earned by the Member will become invalid.

SECTION 5 HANDLING OF PERSONAL INFORMATION OF MEMBERS

Article 16 Collection, Retention and Use of Personal Information

16.1 Hotel Okura will obtain and use (taking all necessary security measures) the following personal information ( Personal Information ) of the Members and persons who apply to become Members ( Members ), for the purposes of determining whether the applicant may be admitted as a Member and of operations of the Club:
(a) Items notified by the Member when applying for membership, including name, date of birth, home address, home telephone number, name of firm, business address, position or title, and business telephone number;
(b) Details of the Member s use of the Club.
16.2 Hotel Okura will use the Personal Information for the following purposes:
(a) Providing Member(s) with information about its services;
(b) Promotional purposes, such as sending advertisements and information about Hotel Okura and Participating Hotels.
16.3 Hotel Okura will supply Personal Information to a third party to the minimum extent necessary, and such a third party will use the Personal Information in the following circumstances:
(a) For providing services;
(b) When the sharing or disclosure of the Personal Information to a company with whom a confidentiality agreement has been executed is deemed necessary for the purpose of outsourcing direct marketing;
(c) When the sharing or disclosure of the Personal Information to a company with whom a confidentiality agreement has been executed is deemed necessary for the purpose of providing the awards;
(d) When the sharing or disclosure of the Personal Information to a supplier with whom a confidentiality agreement has been executed is deemed necessary for the purpose of maintaining and managing the website and customer information systems;
(e) When the Member s consent has been obtained for disclosure of information;
(f) When a formal request has been received in accordance with relevant laws from a public authority such as the police or the courts; and
(g) When there is deemed to be a serious and urgent need for protecting the life, body or property of the Member, Hotel Okura or a third party.

Article 17 Disclosure, Correction and Erasure of Personal Information

17.1 The Member may request Hotel Okura or Participating Hotels to provide access to the Personal Information they hold about the Member. Such a request can be made by contacting the Club by telephone during the operating hours from 10:00 to 17:00 on business days, or on the Club s website at http://www.okura.com/oci
  Upon receipt of such a request, Hotel Okura will promptly correct or delete any error or inaccuracy the Member finds in his or her registered details.

Article 18 Request to Cease Use or Disclosure of Personal Information

18.1 Even where Hotel Okura is using or providing the Member s Personal Information within the scope of Article 16.2, in the event that the Member requests Hotel Okura to cease the use or disclosure of the Personal Information, Hotel Okura will take measures to cease use and provision of such Information to the Participating Hotels.

Article 19 Customer Service

19.1 The Member should contact the Club to request access to, correction or erasure of, or the cessation of use or supply of, the Member s Personal Information.

Article 20 Language, Governing Law and Jurisdiction

20.1 In the event of any inconsistency in or misinterpretation of the Rules, the Japanese-language version of the Rules shall prevail over the English-language version.
20.2 The Rules are governed by and construed in accordance with the laws of Japan.
20.3 In the event of any dispute arising in connection with the Rules, the Tokyo District Court will be the court of primary jurisdiction.
